介個(gè)應(yīng)該是合同中的保密條款： 但是這個(gè)是不是原稿��？感覺(jué)句子跟平�？吹降挠悬c(diǎn)不對(duì)，“ to the other party (“Recipient”)中的to是不是應(yīng)該是by�。靠赡苁菦](méi)有上下文的關(guān)系，一般而言，對(duì)于服務(wù)接受方所提供的一些保密信息，如所有權(quán)或者一些交易秘密信息，后半句就講了，這些信息是服務(wù)提供方進(jìn)行信息披露時(shí)特別書(shū)面說(shuō)明有關(guān)內(nèi)容是保密信息的，服務(wù)方有保守秘密的義務(wù)。 也就是說(shuō)A公司交個(gè)任務(wù)給你做，肯定要跟你說(shuō)一些技術(shù)或者交易有關(guān)的信息以方便您做事，對(duì)于這些信息，A公司在跟你交代的時(shí)候，會(huì)有書(shū)面文件說(shuō)明哪些信息是特別需要保密的，甚至在沒(méi)有做單之前就要跟你簽個(gè)保密協(xié)議，那么這些信息你是肯定要保密的。 這個(gè)句子有個(gè)難理解的地方，就是因?yàn)閙aintain sth in confidence中的賓語(yǔ)sth實(shí)在太長(zhǎng)，所以就放到最后面去了，因?yàn)橛⒄Z(yǔ)句子講究尾重，這樣句子的結(jié)構(gòu)就很清楚，如果把這個(gè)in confidence放到最后面，那這個(gè)就是典型的中式英語(yǔ)，讀起來(lái)也很別扭，而且這個(gè)in confidence都不知道到底是接的緊前的詞還是maintain。 我在網(wǎng)上找了一個(gè)威斯康辛州的一段，他那個(gè)就很清楚，摘抄如下： 2. Confidentiality Unless otherwise required by law, the University will exercise reasonable efforts to maintain in confidence any information, documentation and materials specifically developed or prepared by the University in performance of Services under this Agreement, except for information defined in a, b, and c below in this section. In addition, unless otherwise required by law, the University will exercise reasonable efforts to maintain in confidence any proprietary or trade-secret information disclosed or submitted to the University by the Service Recipient that is designated in writing as confidential information at the time of disclosure ("Confidential Information" . Confidential Information does not include information which:a) is generally available in the public domain or becomes available to the public through no act of the University; or b) is independently known prior to receipt thereof or is discovered independently by an employee of the University who had no access to the information supplied by the Service Recipient under this Agreement; or c) is made available to the University as a matter of lawful right by a third party. The University retains the right to refuse to accept any such information which is not considered to be essential to the completion of the Service. The obligations of the University under this paragraph shall survive and continue for one (1) year after this Agreement ends. |
