第一段： Unless licensed exclusively to a third party, either Party may terminate this Agreement upon sixty (60) days written notice to the other. Such notice shall act as a final release and settlement of all claims of the terminating Party to License Revenue accrued after the effective date of termination, and as an assignment to the other Party of all the terminating Party’s right, title and interest in and to the Invention, the Patent Rights and all other intellectual property rights in the Invention. Termination shall not relieve the terminating Party from the obligation to pay its share of Patent Expenses, which have accrued but are unpaid as of the effective date of termination. 第二段： The Parties shall maintain in strict confidence all documents marked “confidential” or with similar proprietary legend and shall use such “confidential” documents only for the purposes of this Agreement (“Confidential Information”), and shall ensure that such “confidential” documents will not be disclosed by the recipient or its employees or agents, without prior written consent of the sending Party unless such information is in the public domain when disclosed; is part of the public domain through no act or omission of the recipient Party or its employees or agents, successor, or assigns; is lawfully disclosed to recipient Party by a third party possessing the right to disclose it; is already known by the recipient Party when disclosed, as evidenced by prior written records of the information; is independently discovered or developed by the recipient through no breach of this Agreement; or, is required by law, federal or state regulation(s), or court order to be disclosed. |

| 除非獨(dú)家授權(quán)給第三方,任何一方可以終止本協(xié)議，并在60天內(nèi)書面通知對(duì)方。這種通知應(yīng)該作為終止方所有關(guān)于終止生效日期后積累的許可收入的最后發(fā)布和結(jié)算說明，并作為終止方所有權(quán)利、冠名和發(fā)明中的收益，專利權(quán)，和所有其他與發(fā)明相關(guān)的知識(shí)產(chǎn)權(quán)向另一方的轉(zhuǎn)讓說明。終止不能免除終止方支付相應(yīng)的專利費(fèi)用的義務(wù)，這種費(fèi)用可以累積，但是在終止生效日期后不必支付。 |

第二段： 各方應(yīng)當(dāng)對(duì)所有注明“機(jī)密”的文檔，或有類似專門說明的文檔進(jìn)行嚴(yán)格保密，并且這些“機(jī)密”文檔應(yīng)當(dāng)只能為了實(shí)施本協(xié)議（“機(jī)密信息”）的目的被使用，還要確保這些“機(jī)密”文檔在沒有提前得到發(fā)送方書面同意的情況下，不會(huì)被接收方，或它的雇員，或代理方泄露，除非這些“機(jī)密”信息是：當(dāng)其被公開時(shí)已經(jīng)在公共領(lǐng)域的；公共領(lǐng)域的一部分，沒有受到接收方，或其雇員，或代理方，或繼任方，或接受轉(zhuǎn)讓方作為或不作為影響的；被有權(quán)泄露該信息的第三方合法地向接收方泄露的；在泄露前已經(jīng)被接收方獲知，并有提前做好的書面記錄信息作為證明的；在沒有違背協(xié)議的前提下，被接收方獨(dú)立地發(fā)現(xiàn)并被研發(fā)出來的；被法律，聯(lián)邦或州條例，或法院命令要求泄露的。 |
