| Contractor shall not use, nor shall it disclose to any other party any such information, knowledge or trade secrets either during or after the term of this Agreement, except as otherwise authorized by UOP in writing. Contractor further agrees not to disclose to any other party without UOP’s prior written approval the fact, nature, and terms of this Agreement or any discussions with UOP or its affiliates. Notwithstanding the foregoing, Contractor may disclose UOP’s Confidential Information to its employees who need to know it in order for the Services to be performed and who have signed a nondisclosure agreement with Contractor. Contractor shall be responsible for any unauthorized use or disclosure of UOP Confidential Information by such employees and any such unauthorized use or disclosure shall constitute a breach of this agreement. Contractor’s obligations of restricted use and confidentiality shall survive any termination or expiration of this Agreement. |

| 承包商不得使用,不得透露給任何其他方任何此類信息、知識和商業(yè)秘密期間或之后,本協(xié)議的期限,除另有書面授權(quán)使用UOP。承包商同意不會進一步透露給任何其他方的事先書面同意不使用UOP事實、性質(zhì)、和本協(xié)議條款或任何討論與使用UOP或其關(guān)聯(lián)公司。盡管有上述規(guī)定,承包人可以使用UOP機密信息的披露其員工需要知道它為了要執(zhí)行的服務(wù)和已簽署一份保密協(xié)議和承包商。承包商應(yīng)負責(zé)任何未經(jīng)授權(quán)而使用或披露機密信息的使用UOP這樣的員工和任何此類未經(jīng)授權(quán)而使用或公開將構(gòu)成違反本協(xié)議的責(zé)任。承包商的義務(wù)和保密的受限制的使用應(yīng)當(dāng)安然度過任何合約終止或到期。 |
