| Except as expressly stated otherwise in this Letter, any dispute, controversy or claim arising out of or relating to this Letter or to a breach of it, including its interpretation, performance or termination, that the parties are unable to resolve within thirty (30) calendar days after written notice by a party to the other, shall be finally settled by arbitration. The dispute, controversy or claim may be submitted to International Chamber of Commerce (ICC) for arbitration by either party after the expiration of such 30-day period. The arbitration shall be conducted in accordance with the Rules of Arbitration of the ICC by one arbitrator appointed in accordance with the said Rules. The seat of arbitration shall be Singapore, and the arbitration shall be conducted in English language. The decision of the arbitrator shall be final and binding upon the parties hereto, and the expenses of the arbitration (including, without limitation, the award of attorney’s fees to the prevailing party) shall be paid as the arbitrator determines. Judgment upon the award may be entered in any court having jurisdiction thereof. |

除本協(xié)議另有規(guī)定外，任何由本協(xié)議引起的或與本協(xié)議有關(guān)的或違背本協(xié)議所引起的爭(zhēng)議、糾紛或索賠，包括本協(xié)議的解釋、實(shí)施或終止，在其中一方向另一方發(fā)出書(shū)面通知后30自然日內(nèi)不能得以解決的，應(yīng)當(dāng)最終提請(qǐng)仲裁。該爭(zhēng)議、糾紛或索賠可由任何一方在上述30自然日期滿(mǎn)后向國(guó)際商會(huì)(ICC)提出。 仲裁員應(yīng)當(dāng)按照ICC規(guī)定指定，并由其按照ICC仲裁規(guī)則履行仲裁程序。仲裁地應(yīng)為新加坡，仲裁程序應(yīng)當(dāng)使用英語(yǔ)。仲裁員的裁決是最終的，并對(duì)當(dāng)事各方具有約束力。仲裁費(fèi)包括但不限于：勝訴方律師費(fèi)，應(yīng)當(dāng)于仲裁員作出裁決時(shí)支付。關(guān)于費(fèi)用的判決可由任一具有管轄權(quán)的法院作出。 |
